GoASAP Terms of Service

To use GoASAP, you must create an account and complete identity verification through our third-party verification provider. You agree to provide accurate, current, and complete information and to promptly update such information if it changes. Identity verification is strictly intended to confirm account holder identity and does not constitute a criminal background check, safety screening, or endorsement of any user.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

GoASAP may require additional verification, identity confirmation, document submission, or background screening for certain users, account types, geographic areas, or task categories, at our sole discretion.

You may not:

• Create more than one account.
• Share your account.
• Use another person's account.
• Misrepresent your identity.
• Attempt to bypass verification procedures.

GoASAP reserves the right to refuse registration, suspend, restrict, or permanently terminate any account for fraud prevention, security concerns, violations of these Terms, or any other reason permitted by law.

Portions of the Platform's software, content, and features have been developed with the assistance of artificial intelligence tools. This does not affect your rights or obligations under these Terms.

Where the Platform uses artificial intelligence or automated systems to interact with you, make recommendations, or influence any decision affecting your use of the Platform (including but not limited to task matching, content moderation, or fraud detection), GoASAP will provide notice of such AI use as required by applicable law. You may request confirmation of whether a particular interaction or decision involved artificial intelligence by contacting [email protected].

GoASAP does not currently offer an AI-powered chatbot or virtual assistant that interacts directly with users in place of a human. If this changes, GoASAP will update this section and provide any disclosures required under applicable state law.

Doers are independent users of the Platform and are not employees, agents, representatives, partners, franchisees, or joint venturers of GoASAP.

Nothing in these Terms creates an employment relationship between GoASAP and any Doer.

Doers are solely responsible for:

• reporting income;
• paying all applicable federal, state, and local taxes;
• obtaining any required licenses or permits;
• maintaining any insurance they choose to carry.

GoASAP may issue tax forms, including IRS Form 1099, when required by applicable law.

GoASAP does not control:

• whether a Doer accepts a task;
• how a task is performed;
• when a task is performed;
• where a task is performed;
• what tools are used;
• the quality of work;
• the methods used to complete work.

Each Doer independently determines how and whether to complete any task.

Posters agree to accurately describe the task, including:

• scope;
• location;
• expected completion requirements;
• price;
• any known hazards or special circumstances.

Posters agree to pay the full posted task price, applicable platform fees, taxes, and any other disclosed charges when a Doer accepts the task.

Doers agree to complete accepted tasks substantially as described.

If the actual scope of work materially exceeds what was originally posted, the Doer must request approval through the Platform before performing additional work or requesting additional payment.

Absent Poster approval, the Doer is not entitled to additional compensation.

Either party may cancel a task before acceptance without penalty.

Cancellation after acceptance may result in cancellation fees, reduced visibility, temporary restrictions, suspension, or other consequences described elsewhere on the Platform.

Users may not use GoASAP to arrange transactions that violate applicable law or these Terms.

Doers represent and warrant that they possess all necessary skills, qualifications, permits, licenses, and legal authority required to perform any task they accept. If a task requires a specific license or permit under applicable law, the Doer is solely responsible for obtaining and maintaining such authorization prior to performing the work. GoASAP does not verify licenses or qualifications and assumes no responsibility for a user's failure to possess required credentials.

If GoASAP determines in its sole discretion that a user has intentionally engaged in marketplace circumvention to avoid Platform fees (such as soliciting off-platform payment for connections made through GoASAP), GoASAP reserves the right to suspend or permanently ban the user's account. To the extent permitted by applicable law, users who knowingly solicit or conduct off-platform payment transactions for matches initiated on GoASAP agree to pay GoASAP a liquidated damages fee equal to $150.00 or three times the applicable platform fee (whichever is greater) per occurrence, representing a reasonable pre-estimate of GoASAP's administrative and investigative costs.

All payments on the Platform are processed through our third-party payment processor. GoASAP does not directly collect, hold, or transmit funds outside of this processor's infrastructure.

When a Poster's task is accepted by a Doer, the full task price plus applicable platform fees is authorized and held by our third-party payment processor pending task completion and confirmation. Funds are not held directly by GoASAP.

Upon a Doer marking a task complete, including submission of photo confirmation, the Poster will have a 72-hour review window to confirm satisfactory completion or raise a dispute through the Platform. During this 72-hour review window, authorized funds will remain held by the payment processor and will not be available for release or withdrawal by the Doer. If the Poster confirms completion or takes no action within this 72-hour window, funds will automatically be released by the payment processor to the Doer's account balance for payout. Once released after the 72-hour window, all payments are final and non-refundable through the Platform, except in cases of proven user fraud.

Filing a formal dispute within the 72-hour review window automatically pauses the auto-release timer. Funds will remain held by the third-party payment processor until the dispute is resolved by GoASAP or the payment processor in accordance with these Terms.

GoASAP charges a platform fee, currently 12% of the task price, which is added to and paid by the Poster in addition to the task price. Fees are subject to change with notice provided through the Platform.

Doers are paid the full task price they agreed to accept, minus any adjustments resulting from an approved dispute under Section 8.

GoASAP is not responsible for delays, errors, or failures caused by our third-party payment processor, including delayed transfers, processing outages, or account restrictions imposed by the processor.

If a Poster initiates a chargeback or payment reversal with their financial institution, GoASAP reserves the right to suspend the Poster's account and pursue recovery directly against the Poster. Doers acknowledge that if a task payment is reversed due to verified unauthorized card use or financial fraud committed by the Poster prior to fund release, GoASAP may withhold or reverse disputed escrowed funds in accordance with payment processor policies and applicable law. GoASAP will not deduct funds from a Doer for Poster chargebacks occurring after legitimate task completion confirmed by the Poster.

Payment processing services on the Platform are provided by our third-party payment processor (e.g., Stripe, Inc.) and are subject to the applicable third-party agreement (including the Stripe Connected Account Agreement). By agreeing to these Terms or continuing to operate as a user on GoASAP, you agree to be bound by such third-party payment terms, as modified from time to time. You authorize GoASAP to share user and transaction information with our payment processor to facilitate payment services.

Approved refunds will be processed through our third-party payment processor to the original payment method. Refund processing times may vary depending on your financial institution, typically taking five (5) to ten (10) business days to post to your account.

If a Poster disputes a completed task within the confirmation window described in Section 7.3, held funds will not be released pending review.

GoASAP may request evidence from either or both parties, including photographs, messages, or other documentation, to assist in resolving the dispute.

If GoASAP requests evidence or clarification from a user regarding an active dispute and that user fails to respond within three (3) business days, GoASAP reserves the right to resolve the dispute in favor of the responding party and instruct the third-party payment processor to release or refund the held funds accordingly.

GoASAP's determination regarding the release of held funds in a dispute between a Poster and a Doer is final and binding as between those users with respect to the funds at issue. This does not limit either party's other legal rights against the other user.

GoASAP is not obligated to mediate or resolve any dispute between users and may, at its sole discretion, decline to do so and leave resolution to the parties directly.

Users may not post or accept tasks that involve any of the following high-risk or licensed activities:

• Licensed trade work (including structural contracting, electrical, plumbing, HVAC, or roofing work requiring a state or local license);
• Caregiving services, including childcare, petcare, eldercare, or medical/nursing care;
• Passenger transportation, ride-sharing, or operation of heavy machinery;
• Work involving hazardous materials, chemicals, high altitudes, or weapons.

GoASAP reserves the right to remove any listing and suspend any account attempting to arrange prohibited task categories.

GoASAP strictly prohibits users from uploading, transmitting, or sharing any User Content (including photos, task proof, profile pictures, or chat attachments) that:

• (a) Nudity & Sexual Content: Contains full or partial nudity, sexually suggestive imagery, sexually explicit content, adult entertainment, or acts of sexual solicitation.
• (b) Controlled & Restricted Substances: Features, promotes, or facilitates transactions involving illegal drugs, prescription pharmaceuticals, drug paraphernalia, alcohol, tobacco, or cannabis products.
• (c) Illegal & Harmful Conduct: Depicts, encourages, or assists in criminal acts, physical violence, theft, destruction of property, harassment, hate speech, or dangerous activities.

All intellectual property, trademarks, logos, branding, code, design, and content on the Platform (excluding User Content) are the exclusive property of GoASAP.

By submitting, uploading, or posting any text, photos, reviews, or other media ("User Content") to the Platform, you grant GoASAP a perpetual, non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content in connection with operating, promoting, and improving the Platform. You represent and warrant that you own or have the necessary rights to share any User Content you post.

If you believe any content on the Platform infringes your copyright, please submit a notification to [email protected] containing: (a) your contact info; (b) a description of the copyrighted work; (c) the exact location/URL of the infringing material; and (d) a statement of good-faith belief that the use is unauthorized. GoASAP facilitates connections between independent users but does not supervise, control, or guarantee the conduct of any user. You acknowledge and agree that in-person interactions arranged through the Platform carry inherent risk.

You agree to exercise reasonable caution when meeting other users, including but not limited to meeting in public or well-populated locations where practical, and trusting your own judgment if a situation appears unsafe.

Where GoASAP provides identity verification or user ratings, this information is provided as one input among several to assist users in making informed decisions, and is not a guarantee of any user's safety, trustworthiness, or fitness for a particular task. GoASAP does not warrant the accuracy or completeness of any third-party verification result.

GoASAP does not conduct criminal background checks on users. Users are solely responsible for exercising their own judgment, taking personal safety precautions, and evaluating the fit of any user before meeting in person or allowing access to a residence or property.

GoASAP does not provide insurance, guarantee coverage, or assume liability for physical damage to real or personal property caused during the performance of a task. Posters assume all risk of damage or loss to personal or real property arising from interactions with Doers or task execution.

To the maximum extent permitted by applicable law, GoASAP and its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform, including but not limited to personal injury, property damage, or loss of income, even if GoASAP has been advised of the possibility of such damages.

GoASAP's total aggregate liability to you for any claim arising out of or relating to your use of the Platform shall not exceed the greater of (a) the amount you paid to GoASAP in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Nothing in this section limits liability for GoASAP's gross negligence, willful misconduct, or any liability that cannot be limited or excluded under applicable law.

Except as set forth below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court where jurisdictionally appropriate.

You agree that any arbitration or claim shall be conducted on an individual basis only, and not as a class, collective, consolidated, or representative action.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Unless the parties agree otherwise or the arbitrator determines that an in-person hearing is necessary, any arbitration hearing shall be conducted virtually, by telephone, or based solely on written submissions. If an in-person hearing is required, it shall take place in the State of Hawaii, or in the county where you reside if required by applicable law or AAA rules.

You may opt out of this arbitration agreement by notifying GoASAP in writing at [email protected] within thirty (30) days of first agreeing to these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration will not affect any other provision of these Terms and will not affect your ability to use the Platform.

To the extent permitted by law, you and GoASAP waive any constitutional and statutory rights to go to court and have a trial in front of a judge or a jury for any non-arbitrable claims, choosing instead that all claims and disputes be resolved by arbitration or small claims court.

GoASAP reserves the right, in its sole and absolute discretion, to restrict, suspend, temporarily ban, or permanently terminate your account, access to the Platform, or ability to use any of our services at any time, with or without notice, and for any reason or no reason, including but not limited to any actual or suspected violation of these Terms, fraudulent activity, safety concerns, or market manipulation.

To enforce account suspensions or permanent bans, GoASAP explicitly reserves the right to block, ban, or restrict access from specific IP addresses, IP address ranges, device identifiers, phone numbers, email addresses, payment methods, or other network-level identifier credentials associated with banned users or accounts. Attempting to bypass, evade, or circumvent any technical access ban (including through the use of alternative accounts, VPNs, proxies, or spoofed credentials) constitutes a material breach of these Terms and may result in immediate legal action or referral to law enforcement.

You may close your account at any time, subject to completion of any pending tasks, disputes, or payments.

Sections of these Terms that by their nature should survive termination, including but not limited to Sections 5, 7, 8, 11, 12, 13, and 16, shall survive any termination of your account or these Terms.

In the event your account is suspended or permanently terminated due to fraud, illegal activity, fee circumvention, severe or repeated violations of these Terms, or conduct threatening the safety of the Platform or its users, you acknowledge and agree that, to the maximum extent permitted by applicable law:

• (a) You forfeit any right, entitlement, or opportunity to receive, request, or collect pending or future payouts, platform earnings, referral bonuses, or held funds associated with your account; and
• (b) GoASAP and its third-party payment processor reserve the right to withhold, cancel, offset, or return disputed or escrowed funds to the original payor (e.g., the Poster) or retain such funds to offset administrative costs, damages, liquidated damages (including under Section 6A.1), or processing fees incurred as a result of your misconduct.

Except as expressly stated in these Terms, no provision of these Terms is enforceable by any person who is not a party to these Terms. Nothing in this section limits GoASAP's right to enforce these Terms against you.

GoASAP shall not be liable for any failure, delay, or interruption in Platform availability or service performance resulting directly or indirectly from acts of God, extreme weather events, natural disasters, severe storms, tsunamis, public health emergencies, power or internet infrastructure outages, third-party service or API disruptions, labor disputes, acts of civil or military authority, or cyberattacks beyond GoASAP's reasonable control.

The failure of GoASAP to enforce any right, provision, or remedy in these Terms shall not constitute a waiver of such right, provision, or remedy in the future. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of GoASAP.
